HD Supply Holdings, Inc. Analyst Notes 

On March 25, 2014, HD Supply Holdings, Inc. (HD Supply) reported financial results for Q4 FY 2013 and full-year FY 2013 (period ended February 2, 2014). In Q4 FY 2013, the Company achieved net sales of $1.9 billion, up 6.9% YoY, while net sales for full-year FY 2013 were $8.5 billion, up 9.4% YoY. Q4 FY 2013 net loss was $66 million, or $0.34 per diluted share, compared to a net loss of $713 million, or $5.46 per diluted share, in Q4 FY 2012. Full-year FY 2013 net loss was $218 million, or $1.31 per diluted share, compared to a net loss of $1.2 billion, or $9.03 per diluted share, for full-year FY 2012. "We delivered 9 percent sales growth and 21 percent Adjusted EBITDA growth, as adjusted for unusual items, despite a challenging and uncertain market environment. Our focused growth strategies and investments coupled with our differentiated customer-centric business model continue to deliver profitable growth in excess of our estimate of market growth," said Joe DeAngelo, CEO of HD Supply. Magna International Inc. Analyst Notes 

On March 18, 2014, Magna International Inc. (Magna) announced that the Ontario Securities Commission (OSC) has issued an issuer bid exemption order (2014 Order), which permits the Company to make private agreement purchases of Magna's Common Shares from an arm's length third-party seller. Magna was previously granted an issuer bid exemption order (2013 Order) on November 22, 2013, which permitted the Company to make private agreement purchases from an arm's length third-party seller pursuant to the terms and conditions contained in the 2013 Order. Magna further noted that the Normal Course Issuer Bid expires on November 12, 2014, and the maximum number of Common Shares which may be purchased by way of all private agreements, including the 2013 Order, cannot surpass 4.0 million, and the maximum number of Common Shares purchased in any weekly tranche by way of private agreement will not exceed 1.0 million. The Company informed that as of the date of the release, it has purchased 2.4 million Common Shares under the 2013 Order.
